FilingPing: Terms of Service

Effective date: {{EFFECTIVE_DATE}}

These terms apply when you sign up for or use FilingPing (the Service), including the API, webhooks and email digests. Please read them. If you do not agree, do not use the Service.

1. Who we are

The Service is provided by Craig Hallsworth, a sole trader trading as FilingPing ("we", "us", "our"), based in England.

"You" means the person or organisation that signs up for, or uses, the Service. If you sign up on behalf of an organisation, you confirm that you are authorised to accept these terms for it, and "you" means that organisation.

2. Who the Service is for

The Service is designed for business use: for example, credit control, supplier and customer due diligence, lending, insolvency and professional services. When you sign up, you confirm that you are using the Service for the purposes of your trade, business or profession.

If you are nevertheless a consumer under UK law (an individual acting wholly or mainly outside your trade, business, craft or profession), section 13 applies to you and nothing in these terms affects your statutory rights.

3. What the Service does

You add UK company numbers to a watchlist. We monitor public data published by Companies House, through its Streaming API and REST API, and tell you when a watched company changes. Changes we report include:

We tell you in three ways: signed webhooks sent to HTTPS URLs you register; a pull API (GET /v1/events); and a daily email digest.

Company-level information only. We deliberately do not collect or pass on the names, addresses or dates of birth of company officers or persons with significant control. An officer or PSC filing event tells you that a filing of that type was made. It does not tell you who it concerns. To see that, check the Companies House register.

4. This is an information service, not advice

The Service passes on and summarises public records. It is not legal, financial, credit, investment, insolvency or tax advice, and it is not a credit rating or credit reference service. We do not assess any company's creditworthiness. Before you make any decision that matters (for example, extending credit, lending, entering a contract, or taking enforcement action), check the official Companies House register and take professional advice where appropriate.

5. Accuracy, completeness and timing: please read

The Service depends on Companies House and on the internet. We take reasonable care, but we do not guarantee that every change will be reported, or that it will be reported on time or correctly. In particular:

  1. The source can be wrong. We pass on what Companies House publishes. Companies House data can contain errors, be corrected later, or be removed. We do not check the underlying facts.
  2. Delays. Changes reach us only when Companies House publishes them, and filings can appear on the register some time after the event they relate to. Our own processing, webhook retries and email delivery add further delay.
  3. Gaps in the stream. If the Companies House stream is interrupted or we fall too far behind it, we re-check every watched company and its recent filings through the Companies House REST API. Events recovered this way may arrive late and may carry less detail. Some intermediate changes (for example, a status that changed and then changed back during the gap) may not be reported at all.
  4. Start of monitoring. We report changes from the time you add a company. We do not report its history before then.
  5. Webhooks. If your endpoint does not accept a webhook, we retry at intervals for about 22 hours and then stop trying that delivery. After 50 failures in a row we pause the endpoint and email you. You must then re-enable it. Events remain available through GET /v1/events for 90 days (section 8).
  6. Email digests summarise the previous 24 hours, are sent once a day (around 07:00 UK time) and list up to 500 events. They are not a substitute for webhooks or the pull API.
  7. Companies House services. Companies House can change, limit or withdraw its APIs at any time. If that happens, we may have to change or stop the Service (section 14).

You are responsible for deciding whether the Service is suitable for your purposes, and for building your own checks where timing or completeness is critical.

6. Companies House data and the Open Government Licence

Companies House data is public sector information licensed under the Open Government Licence v3.0 (the OGL): https://www.nationalarchives.gov.uk/doc/open-government-licence/version/3/.

7. Your account and API keys

  1. Signing up. You sign up with an email address, and we email you an API key. We never show the key on screen or send it any other way. You must give an email address that you control and keep it up to date.
  2. Keep keys secret. Your API key and webhook signing secrets are like passwords. Anyone holding your API key can use your account, including deleting it. Do not put keys in public code repositories, client-side code or shared documents.
  3. If a key is exposed, email support@filingping.co.uk straight away and we will revoke it. We are not responsible for loss caused by someone using your key before you told us it was compromised, unless the loss was our fault.
  4. Verify our webhooks. Each webhook carries a signature header created with your endpoint's secret. You should check the signature and reject webhooks that fail the check or are too old. We show each secret once, when you create the endpoint.
  5. One account per customer. Do not create multiple free accounts to get around plan limits.

8. Plans, limits and the free plan

9. Fees, payment and tax: Stripe and Onelink

  1. Who takes payment. We sell paid plans through Stripe Managed Payments. The payment transaction is handled by Sold through Link, LLC ("Onelink"), a Stripe affiliate that acts as merchant of record and reseller. Checkout, receipts, invoices, payment support and refund requests are handled through Onelink, and Onelink's own purchase terms and privacy notice apply to the payment. These terms govern your use of the Service. Your bank statement will show LINK.COM* followed by our descriptor.
  2. Prices and tax. The prices above exclude tax. Stripe calculates and collects any VAT or other sales tax at checkout, depending on where you are. Checkout may display the price converted into your local currency.
  3. Renewal. Subscriptions renew automatically at the end of each monthly or yearly period until cancelled. Onelink sends renewal reminders, including reminders before the 6-month and 12-month anniversaries for UK customers.
  4. Failed payments. If a payment fails, your plan stays active while Stripe retries. If the subscription is then cancelled or ends, your account moves to the free plan, and watches above 10 are paused (section 8).
  5. Changing plan. You cannot open a second paid subscription while one is active. To move between Starter and Pro, email support@filingping.co.uk and we will arrange it.
  6. Price changes. We may change prices for future billing periods. We will give you at least 30 days' notice by email, and you can cancel before the new price applies.

10. Cancelling and refunds

  1. How to cancel. You can cancel at any time through your Onelink account (link in your receipt email) or by emailing support@filingping.co.uk. Cancellation takes effect at the end of your current paid period, and you keep your plan until then. We do not charge you again after that.
  2. Refunds (business customers). Fees are not refundable for part-used periods, except where the law requires, where we have failed to provide the Service in breach of these terms, or where we decide to refund as a goodwill gesture.
  3. Onelink refunds. Onelink may also consider refund requests. Stripe's documentation says it can issue refunds within 60 days of the original transaction in certain cases. Anything Onelink refunds is in addition to your rights under these terms and does not reduce them.
  4. Consumers have extra cancellation rights. See section 13.
  5. Deleting your account. You can delete your account and data with DELETE /v1/account, once any paid subscription has been cancelled and has ended. Deletion is permanent.

11. Acceptable use

You must not, and must not help anyone else to:

  1. use the Service or its data for any unlawful purpose, including in breach of data protection, anti-discrimination or consumer protection law;
  2. use the Service to harass, stalk, intimidate or target any individual, including a director, shareholder or other person linked to a company you watch;
  3. resell, sublicense or provide access to the Service, or to our event feed as such, as a competing or substantially similar data service, without our written agreement. You may use what you receive in your own business, and include it in reports, alerts or products you provide to your own clients, provided you keep an OGL attribution (section 6) and do not simply redistribute our raw feed;
  4. strip or hide the OGL attribution when republishing Companies House data, or suggest that Companies House endorses you;
  5. get around plan or rate limits (for example, by using multiple free accounts), or access the Service other than through the documented API;
  6. overload, probe, scan or attack the Service. This includes registering webhook URLs meant to point at systems you do not control, or at internal networks;
  7. share your API key outside your organisation, except with contractors working for you under confidentiality obligations;
  8. reverse engineer the Service, except to the extent the law allows.

12. Suspension and termination

  1. You can stop using the Service at any time, and delete your account as described in section 10.5.
  2. We may suspend or restrict your access immediately, where reasonable, if: you break section 7 or 11; your use threatens the security or stability of the Service or other customers; a payment is disputed or reversed; or the law or Companies House requires it. Where we can, we will tell you why and give you a chance to fix the problem.
  3. We may end your account if you seriously or repeatedly break these terms. Otherwise, we may end it on 30 days' email notice. If we end a paid plan for a reason other than your breach, we will refund any prepaid fees for the unused period.
  4. When your account ends, your right to use the Service stops, and we delete your data as described in our privacy notice. Sections 4, 5, 6, 15, 16 and 19 continue to apply.

13. If you are a consumer

This section applies only if you are a consumer (see section 2). If it conflicts with anything else in these terms, this section wins.

  1. Your statutory rights. Under the Consumer Rights Act 2015, we must provide the Service with reasonable care and skill, and any digital content we supply must be of satisfactory quality, fit for purpose and as described. Nothing in these terms limits those rights. For information, contact Citizens Advice.
  2. 14-day right to cancel. You may cancel a paid subscription within 14 days of the day the contract was made (the day of your first payment for that subscription), without giving a reason. Tell us by email at support@filingping.co.uk (you may use the model cancellation form below, but you do not have to), or cancel through Onelink.
  3. Starting straight away. Your paid plan starts as soon as payment succeeds. By buying a paid plan, you ask us to start providing the paid Service during the 14-day cancellation period. If you cancel within 14 days, we will refund you in full.
  4. Refunds will be made within 14 days of your cancellation, to the original payment method, through Onelink.
  5. If something goes wrong with the Service, you may be entitled to have it put right or to a price reduction.
  6. Courts. You may bring proceedings in the courts of England and Wales, or of Scotland or Northern Ireland if you live there.

14. Changes to the Service and to these terms

  1. We may change the Service, for example to add features, respond to changes at Companies House, or fix problems. If a change will significantly reduce what a paid plan does, we will give you at least 30 days' email notice where we can, and you can cancel and receive a refund of prepaid fees for the unused period.
  2. We may update these terms. For material changes, we will email you at least 30 days before they take effect. If you do not agree, you can cancel before then. If you keep using the Service after the changes take effect, the new terms apply. Changes needed for legal or security reasons may take effect sooner.
  3. If Companies House withdraws or materially restricts the data the Service depends on, we may end the Service on as much notice as we reasonably can, and we will refund prepaid fees for the unused period.

15. Intellectual property

  1. Ours. We own, or are licensed to use, the Service, its software, its documentation and our branding. We give you a non-exclusive, non-transferable right to use the Service under these terms while your account is active.
  2. Companies House data is licensed under the OGL (section 6), not by us.
  3. Yours. You keep all rights in the information you give us (your watchlists, labels and webhook URLs). You give us permission to use it only to provide, secure and improve the Service.
  4. Feedback. If you send us suggestions, we may use them without any obligation to you.

16. Our liability to you

  1. What we do not exclude. Nothing in these terms limits or excludes our liability for death or personal injury caused by our negligence, for fraud or fraudulent misrepresentation, or for anything else that cannot legally be limited or excluded. For consumers, this includes your rights under the Consumer Rights Act 2015.
  2. Business customers: losses we are not responsible for. Subject to section 16.1, we are not liable, whether in contract, tort (including negligence) or otherwise, for:
    • loss of profit, revenue, business, contracts, goodwill or anticipated savings;
    • bad debts, or losses arising from credit, lending, trading or enforcement decisions you make, including decisions based on (or made without) an alert from the Service;
    • loss or corruption of data held in your own systems;
    • any indirect or consequential loss;
    • losses caused by Companies House data being wrong, late or missing, or by a Companies House service being interrupted.
  3. Business customers: overall cap. Subject to section 16.1, our total liability to you for all claims arising in any 12-month period is limited to the greater of £100 and the fees you paid for the Service in the 12 months before the event giving rise to the claim.
  4. Why these limits are reasonable. The Service is low-cost and passes on free public data, over which we have no control. You are better placed to decide how much you rely on it, and to insure against credit and trading losses. We have set these limits with that in mind, and we consider them reasonable under the Unfair Contract Terms Act 1977.
  5. Consumers. If you are a consumer, we are responsible for loss or damage you suffer that is a foreseeable result of our breaking these terms or failing to use reasonable care and skill. We are not responsible for loss that was not foreseeable, or for business losses.

17. Data protection

Our privacy notice at https://filingping.co.uk/privacy explains how we use personal data about you. Please do not put personal data about individuals in watchlist labels or webhook URLs. Use company names or your own reference codes instead.

18. General

  1. Transfer. We may transfer our rights and obligations under these terms to someone who takes over the Service. We will tell you, and your rights will not be reduced. You may not transfer your account without our written agreement.
  2. Events outside our control. We are not responsible for delay or failure caused by events outside our reasonable control, including Companies House outages or changes, and hosting, email or payment provider failures.
  3. Entire agreement (business customers). These terms, together with our privacy notice, are the whole agreement between us about the Service. Nothing in this clause limits liability for fraudulent misrepresentation.
  4. Severability. If a court finds any part of these terms unenforceable, the rest still applies.
  5. No waiver. If we do not enforce a right straight away, we can still enforce it later.
  6. Third parties. Nobody else has any right to enforce these terms under the Contracts (Rights of Third Parties) Act 1999.
  7. Notices. We will send notices to your account email address. Send notices to us at support@filingping.co.uk.

19. Law and courts

These terms, and any dispute or claim arising from them (including non-contractual disputes), are governed by the law of England and Wales, and the courts of England and Wales have exclusive jurisdiction. If you are a consumer, section 13.6 applies instead of exclusive jurisdiction, and you keep any mandatory protections of the law where you live.
